SFB Exhibit Rules and Regulations

1. Assignment of Space

All space will be assigned on a first-come, first-served basis. Every effort will be made to accommodate requests for booth assignments. SFB reserves the right to make such changes to the floor plan as may be deemed necessary, and to revise assignments from time to time.

2. Exhibit Booth

All booths are 8 feet by 10 feet or multiples thereof. Linear booths will have an 8-foot-high draped back wall and 3-foot-high side drapes. Drape colors will be beige and cream.An identification sign 44 inches long and 7 inches high, with name, city, and state of exhibiting company will be furnished and properly located at the top of the back of booth. Additional signs for display purposes may be ordered through GES Exposition Services. The hall where the exhibits and posters are located is carpeted in shades of brown.

3. Exhibit Fees and Payment for Space

All exhibition fees must be paid in full with the submission of the exhibit space contract.Checks should be made payable to: SFB and sent to the Society For Biomaterials, 15000 Commerce Parkway, Suite C, Mt. Laurel, NJ 08054, USA. SFB cannot allow any booth setup to begin until all fees are paid in full.

4. Cancellation

Cancellation of exhibit space must be directed in writing to SFB Exhibit Headquarters, 15000 Commerce Parkway, Suite C, Mt. Laurel, NJ 08054, USA, or fax: (856) 439-0525. The contracting exhibitor agrees that any cancellation must be in writing and that booth fees will not be refunded for cancellations received after January 25, 2007. If written cancellation is received by January 25, 2007, a refund is issued less a service charge of 50 percent of the net contract price. In case of fire or elements, or any other causes beyond control of management that prevent the holding of the show, this contract will not be binding.

5. Installation and Dismantling

The installation of exhibits must be completed between 3:00 and 10:00 p.m. on Wednesday, April 18, 2007. If any booth is not set up in full by 10:00 p.m. on April 18, SFB reserves the right to re-assign the space to another exhibitor or to make use of the space as deemed necessary, at the exhibitor’s expense. No refund will be made to the original contracted exhibitor. Exhibits must be kept intact until the closing of the exhibits at 4:30 p.m. on Friday, April 20. Dismantling before 4:30 p.m.may negatively impact your exhibiting presence at future SFB conferences.All exhibits must be fully removed by 8:30 p.m. on Friday, April 20. If exhibits are not removed by that time, SFB reserves the right to remove the exhibit at the exhibitor’s expense.

6. Registration of Exhibitor Personnel

Each exhibiting company is entitled to four exhibitor floor pass registrations per 8-foot-by-10-foot exhibit space. Additional floor passes may be purchased for $100. Each exhibiting company will receive one complimentary full conference registration. Exhibitors may also purchase full conference registrations for an additional fee. In order to register booth personnel in advance, an exhibitor registration form must be completed for each person. This form will be included in your space confirmation packet. Use of these registrations is restricted to booth personnel only. All personnel in exhibit booths are required to display proper name badges throughout move-in, exhibit hours and move-out.

7. Booth Construction and Dimensions

Booth size is a standard 8 feet by 10 feet (approximately 2.5 meters by 3 meters). All exhibit backgrounds must conform to the standards set by the Healthcare Convention Exhibitors Association,which are as follows: no side rails or counters may exceed 36 inches in height, backgrounds are limited to 8 feet in height and must not protrude from the back wall more than 5 feet and no exhibit construction will be permitted to exceed the height of the side rail except in the back half of the booth as noted above. The reverse side of any wing panel extending from the back wall of the display must be draped in order to avoid raw exposure to a neighboring booth. If the exhibitor does not comply, SFB will have the decorator drape the area at the exhibitor’s expense. No booth display shall extend outside the paid exhibit space. Corner booths may eliminate the outside 3-foot rail, if desired. Signs, logos, etc., are considered part of the display and must conform to the regulations as outlined above. In addition, no part of any exhibit, or signs relating thereto, shall be posted, nailed, or otherwise attached to columns,walls, floors, or other parts of the building or its furniture, in any way to deface same.Damage arising by failure to observe these rules shall be payable by the exhibitor.

8. Character of Exhibits

Canvassing or distributing advertising matter outside the exhibitor’s own booth is not permitted. Solicitation of business or conferences, in the interest of business, except by exhibiting firms is prohibited. All literature must be distributed from within the booth space assigned. Only literature published or approved by SFB may be distributed in the registration area, meeting rooms, hotels, or in other areas used by the convention attendees. The use of loudspeakers, recording equipment, television sets, radios, or the use of machinery or any device which is of sufficient volume to annoy neighboring exhibitors will not be permitted. Such equipment, if permitted at all,must be within the confines of the contracted exhibit space and must be approved by SFB.

9. Admission to Exhibits

All exhibit personnel and persons visiting the exhibits will be required to wear a badge while in attendance. Exhibit personnel will be admitted to the area one hour prior to the time the exhibits open each day. Children under the age of 12 will not be permitted in the area.

10. Fire Regulations

All materials used in the exhibit area must be flameproof and fire resistant in order to conform to local fire ordinances.Crepe paper and corrugated paper, flameproof or otherwise,will not be permitted. All aisles and exhibits must be kept clear at all times. Fire stations and fire extinguisher equipment are not to be covered or obstructed.

In order to minimize the risk of a fire and keep exhibit halls in Chicago as safe as possible, the Chicago Fire Department has established regulations with which we must comply. The Municipal Code states that nothing (fiber cases, cartons, boxes, personal items, giveaways, etc.) may be stored behind or between exhibit booths, behind draperies, or under tables.All materials that are needed for repacking purposes must be removed from the exhibition area.You may keep a one-day supply of literature or product at your booth. Accessible storage is available for additional promotional items or giveaways. The Chicago Fire Department strictly enforces these regulations.

11. Security

Each exhibitor shall assume the risk of any injury, loss, or damage to exhibitor’s property.Watchmen will be on duty in the exhibit area when exhibits are closed, but the safekeeping of the exhibitor’s property shall remain the responsibility of the exhibitor. Exhibitors wishing to insure their exhibit materials, goods and/or wares of exhibits against theft, damage by fire, accident, or loss of any kind,must do so at their own expense. Each exhibiting company is responsible for obtaining insurance (liability and fire/theft) in such amounts as deemed appropriate to comply with its obligations hereunder and for its own protection.Watch service is in no case to be understood or interpreted by exhibitors as a guarantee to them against loss or theft of any kind.

12. Limitations and Liability

Exhibitor agrees to protect, save, and keep the Society For Biomaterials (SFB), Association Headquarters (AH), and the Sheraton Chicago Hotel and Towers forever harmless from any damage or charges imposed for violation of any law or ordinance by the exhibitor, his/her employees or agents, as well as to strictly comply with the applicable terms and conditions contained in the agreement between SFB, AH and the Sheraton Chicago Hotel and Towers regarding the exhibition premises; and further, exhibitor shall at all times protect, indemnify, save and keep harmless SFB, AH, and the Sheraton Chicago Hotel and Towers against any and all loss, cost, damage, liability, or expense which arises out of, from or by reason of any act or omission of exhibitor, his/her employees or agents.

13. Force Majeure

In case said premises shall be destroyed by fire or the elements or by any cause, or in case of government intervention or regulation, military activity, strikes, or any other circumstances make it impossible or inadvisable to hold the show at the time and place provided in the application for exhibit space, then and thereupon the contract shall terminate and the exhibitor shall waive any claim for damages or compensation, except the pro rata return of the amount paid for the space, after deduction of actual expenses incurred in connection with the exhibition and there shall be no further liability on the part of either party.

14. Music Licensing

The exhibitor shall be responsible for securing any and all necessary licenses or consents for: a) any performances, displays, or other uses of copyrighted works or patented inventions, and b) any use of any name, likeness, signature, voice, other impression, or other intellectual property owned by any third party used, directly or indirectly, by the exhibitor. The exhibitor hereby agrees to indemnify, defend and hold SFB harmless from and against any claim of liability and any resulting loss, cost or damage (including costs of lawsuit and attorneys’ fees) for failure to obtain these licenses or consents and/or for infringements or other violations of the property rights or the rights of privacy or publicity of any third party.

15. Americans with Disabilities Act

Exhibiting companies shall be responsible for making exhibits accessible to persons with disabilities as required by the Americans with Disabilities Act, and shall hold SFB harmless from any consequences of exhibiting company’s failure in this regard.

Sheraton Chicago Hotel & Towers Rules and Regs

1. Identification. All personnel are required to wear identification badges at all times. Show contractors and their employees and management staff must be identified from the first day of move-in until the last day of move-out.

2. Unloading/Loading. Due to unloading/loading restrictions set forth by the City of Chicago, all direct shipments made into or out of this facility, other than via the GES warehouse, will require a permit. If you wish to have your carrier pick up or deliver directly to this facility, have your carrier contact the City of Chicago at (312) 744-4654 to request a $25 per day permit. For an additional charge, at the close of the show,GES will take all outbound shipments to its warehouse for pickup by a carrier of your choice. Shipments will be made available 24 hours after the close of the show, during regular warehouse hours. Shipping arrangements also can be made through GES Logistics onsite or by calling (888) 454-4437.Warehouse receiving hours are Monday through Friday 8 am-2:30 pm.

5. Liability. Exhibitor hereby assumes entire responsibility and hereby agrees to protect, defend, indemnify and save Hotel, its owners, its operator, Starwood Hotels and Resorts Worldwide, Inc., and each of their respective parents, subsidiaries, affiliates, employees, officers, directors, and agents harmless against all claims, losses or damages to persons or property, governmental charges or fines and attorney’s fees arising out of or caused by its installation, removal,maintenance, occupancy or use of the exhibition premises or a part thereof, excluding any such liability caused by the sole gross negligence of Hotel and its employees and agents.

Exhibitor shall obtain and keep in force during the term of the installation and use of the exhibit premises, policies of Comprehensive General Liability Insurance and Contractual Liability Insurance, insuring and specifically referring to the Contractual liability set forth in this Exhibit, in an amount not less than $2,000,000 Combined Single Limit for personal injury and property damage.

Hotel, its owners, its operator, and Starwood Hotels and Resorts Worldwide, Inc., shall be included in such policies as additional named insureds. In addition, Exhibitor acknowledges that neither Hotel, its owners, its operator, nor Starwood Hotels and Resorts Worldwide, Inc.,maintain insurance covering exhibitor’s property and that it is the sole responsibility of Exhibitor to obtain business interruption and property damage insurance insuring any losses by Exhibitor.

6. Exhibitor-Appointed Contractors. Any exhibitor-appointed contractor (EAC) must comply with the rules and regulations of the Sheraton Chicago Hotel and Towers. If an exhibitor chooses to utilize an EAC for any of the nonexclusive services that GES Exposition Services provides, the exhibitor seeking to use the EAC must deliver to GES at least 10 days prior to the move-in date: 1) a written statement setting forth the identity and intended use of the EAC, and 2) the EAC’s certificate of insurance evidencing that the EAC has in place the minimum insurance coverage as follows: Workers compensation insurance in the minimum amount as required by state law; automobile liability insurance in a minimum amount of $2 million dollars covering all owned, hired and non-owned vehicles, and commercial general liability insurance in a minimum amount of $2 million dollars. The certificate shall name GES Exposition Services and SFB as additional insured on the EAC’s policies, excluding workers compensation insurance.

7. Booth Cleaning. The Sheraton Chicago Hotel and Towers retains the exclusive contract for cleaning services in the exhibition hall.

8. Food and Beverages.All food and beverage items served in the exhibit hall must be purchased from the Sheraton Chicago Hotel and Towers.
